Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Invariant websites, cloud APIs, hosted services, and related software (collectively, the “Services”), provided by Stardrive Inc., a Delaware corporation with principal business address at 1400 Mission St., #214, San Francisco, CA 94103, USA (“Stardrive”, “we”, “us”). By creating an account, clicking to accept, or using the Services, you agree to these Terms.

1. Eligibility & accounts

You must be able to form a binding contract in your jurisdiction. You are responsible for account credentials, API keys, and all activity under your account. Notify us promptly of unauthorized use at jack@thestardrive.com.

2. The Services

We provide coherence, validation, and related APIs and tooling as described in our documentation. Features may change during pre-launch and beta periods. We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable.

3. Subscriptions & billing

Paid plans are billed through our payment processor (e.g. Stripe). By subscribing, you agree to the processor’s terms and authorize charges per the plan you select. Trials and renewals are disclosed at checkout. You are responsible for applicable taxes. To cancel or manage billing, use the flows we provide (e.g. customer portal) or contact us.

4. Acceptable use

You will not: violate law; infringe others’ rights; attempt to break security or probe vulnerabilities without authorization; overload or disrupt the Services; scrape or resell access in breach of these Terms; send unlawful, harmful, or deceptive content through the Services; or use the Services to build competing benchmarking or training datasets from our systems without permission. We may suspend or terminate access for violations.

5. Your data & privacy

Our Privacy Policy explains how we handle personal information. You retain rights in data you submit; you grant us a license to host, process, transmit, and display that data solely to provide and improve the Services and as described in the Privacy Policy.

6. Open source

Some components may be offered under open-source licenses. Those licenses govern the corresponding code; these Terms govern the hosted Services and accounts.

7. Intellectual property

Stardrive Inc. and its licensors own the Services, the Invariant branding, and the documentation (excluding your content and third-party materials). Feedback you provide may be used without obligation to you.

8. Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STARDRIVE INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICES IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

10. Indemnity

You will defend and indemnify Stardrive Inc. against third-party claims arising from your use of the Services, your data, or your violation of these Terms, except to the extent caused by our willful misconduct.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach, risk, or legal reasons. Provisions that by nature should survive (e.g. disclaimers, limitations, indemnity) survive termination.

12. Governing law & disputes

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules. Exclusive venue for disputes is the state and federal courts located in San Francisco County, California, subject to mandatory consumer protections in your home jurisdiction where applicable.

13. Changes

We may update these Terms; we will post the new date and, for material changes, provide additional notice when appropriate. Continued use after the effective date constitutes acceptance.
